On the grounds of the Article 13 of the Law on Associations (Official Gazette No. 74/14) the Assembly of the association “Civil Rights Project Sisak”, on 7 September 2015 issued the following

S T A T U T E

of the association “Civil Rights project Sisak”

GENERAL PROVISIONS

Article 1

This Statute regulates the name and head office, representation of the association, the seal of the association, area of activities, goals, activities through which goals are achieved, economic activities, ways of ensuring of transparency of activities, membership, rights, obligations, responsibilities and disciplinary responsibility of association members, way of keeping lists of members, association bodies, their structure and way of convening sessions, election, repeal, authorization, ways of issuing decisions and mandate, way of convening the Assembly after the end of mandate, election and repeal of the liquidator, termination of existence of the association, property, way of acquiring and usage of property, way of using property after termination of the existence of the association, dispute resolution and conflict of interest in the association, area of work, logo of the association and its appearance, and other issues important for the association.

Article 2

The name of the association: “Projekt građanskih prava Sisak”

Name of the association in English: Civil Rights Project Sisak

Shortened name in Croatian: PGP Sisak

Shortened name in English: CRP Sisak.

The association works in the territory of the Sisak-Moslavina and Karlovac counties and in co-operation with other NGOs in the territory of the Republic of Croatia and the region and the European Union.

Article 3

Head office of the association is in Sisak.

Managing board makes decisions on the change of address of the Head office.

Article 4

The association has a logo. The logo of the association is a tree with a black, branched tree top with red fruits, irregular shape.

The association has a seal. The seal has a rectangular shape, 45 mm x 15 mm in size. It consists of the logo, full name, residence, address of the Head office and the personal identification number of the association. The Managing board makes the decision on the appearance of the logo and the seal.

Article 5

President of the association represents the association. On the grounds of the decision of the Managing board, other persons may represent CRP Sisak within boundaries determined by the decision of the Managing board.

GOALS AND ACTIVITIES

Article 6

The goal of the association is to promote and protect human rights and fundamental values of citizens, development of democratic political culture and development of local communities, development of civil society, fostering social partnership and cross-sectoral dialogue and  development of inter-sectoral and sectoral cooperation at local and international level, fight against unequal treatment, fight against corruption, fight against violence, fight against poverty and social exclusion, fostering economic development, promotion of volunteerism and social services in the community,  promotion and encouragement of rural development and environmental awareness, environmental and nature protection, promotion and support of lifelong education and non-formal education, construction, strengthening and consolidation of humanism and humanitarian assistance.

These goals require cooperation and coordination of work with other organizations in the Republic of Croatia and abroad and the authorities in the Republic of Croatia and other countries.

AREA OF ACTIVITY IN ACCORDANCE WITH GOALS

Article 7

According to the classification of activities of associations in the Register of Associations, CRP Sisak works in the following areas: democratic political culture, economy, arts and culture, human rights, international cooperation, education, science and research, sustainable development, social activity, technical culture and protection of environment and nature.

The target groups of the association are:

– Asylum seekers,

– Homeless,

– Veterans,

– Civil invalids,

– Civilian victims,

ACTIVITIES

Article 9

To achieve the goals of the Article 6 of this Statute, the association will perform the following activities:

DEMOCRATIC POLITICAL CULTURE: education for democratic citizenship, promotion of non-violence and peace building, violence prevention, other activities on prevention of violence, volunteerism, promoting social solidarity, intercultural dialogue, organization and implementation of arbitration proceedings and procedures of conciliation, promoting good governance, combating corruption, encourage participatory democracy/participation of citizens in decision-making, public policy monitoring and advocacy, civil society development, local community development, public information and media, production of media content, other activities in the field of democratic political culture.

ECONOMY: social entrepreneurship, promoting the development of social entrepreneurship, other activities in the field of social entrepreneurship, other activities in the field of economy.

CULTURE AND ART: literary amateurism, art amateurism, audio-visual amateurism, musical and theatrical amateurism, other activities in the field of culture and art.

HUMAN RIGHTS: free legal aid, right to access to information, prevention and protection against discrimination, gender equality, combating racial discrimination, protection of rights and dignity of workers, protection of the family, protection of children’s rights, protection of  rights of young people, protection of rights of persons with disabilities, protection of rights of elderly persons, protection of rights of the homeless, protection of patients’ rights, protection of rights of drug addicts, protection of victims/witnesses, protection of rights of asylum seekers and foreigners under subsidiary protection, protection of rights of sexual minorities, protection of consumer rights, religious rights and freedoms, protection of rights of national minorities, other activities in the field of exercise and protection of human rights, information and advocacy activities related to the fight against corruption, other activities concerning suppression and protection from discrimination.

INTERNATIONAL COOPERATION:  developmental cooperation, international humanitarian aid, democratic transition, infrastructure, peace and security, human rights, education, gender equality, poverty reduction, environmental protection and protection of nature, improvement of health, other activities concerning developmental cooperation, implementation of projects in cooperation with partners outside Croatia, other activities in the field of international cooperation.

EDUCATION, SCIENCE AND RESEARCH: development and promotion of education, lifelong education and adult education, non-institutional education and education for active participation in development of  democratic culture, education for protection and promotion of human rights, other activities related to education, science, expert work and research, social sciences, organization of national and international scientific conferences, schools and seminars, other activities of science, professional work and research.

SUSTAINABLE DEVELOPMENT: development of rural areas, education for rural development in rural areas, planning for development of rural areas, the LEADER approach for the development of rural areas, other activities related to the development of rural areas.

SOCIAL SERVICES: social assistance and support, assistance and support to the elderly, children, youth, people at risk of poverty and social exclusion, unemployed, family, asylum seekers, the homeless, victims of domestic violence, other activities of social assistance and support.

Social services: counseling and assistance, psychosocial support, integration, prevention of violence and addiction, expert assistance and support, other activities related to social services.

Humanitarian assistance: assistance to victims of natural disasters, improvement of life quality and health of the socially excluded and other activities of humanitarian aid.

TECHNICAL CULTURE: informatics and computing, other activities in the field of technical culture.

ENVIRONMENT AND NATURE: nature conservation, environmental protection, raising awareness and activities to reduce waste and increase recycling, other environmental protection activities.

ECONOMIC ACTIVITIES

Article 10

In order to achieve its goals, the association shall, in accordance with special regulations, perform the following economic activities:

– Printing of newspapers, brochures, manuals

– Services related to pre-press and publishing

– Transport of persons, relocation services

– Activities related to preparation and serving of beverages

– Book publishing

– Publishing of newspapers

– Publishing of journals and periodical publications

– Other publishing activities

– Production of motion picture, video movies and television programs

– Distribution of motion picture, video movies and television programs

– Legal activities

– Consultancy related to business and other management

– Organization of conventions and trade shows

– Translation and interpretation activities

– Photocopying, document preparation and other specialized office support activities

– Activities of call centers

– Renting and leasing of office machinery and equipment

– Educational support activities (e.g. conduct of workshops and seminars)

– Manufacture of imitation of jewelry (bijouterie) and related products.

PUBLICITY OF WORK

Article 11

The work of the association is public. The publicity of work of the association is ensured by:

– Reporting of the association members at the meetings of the association bodies,

– Developing and publication of narrative and financial reports of the association,

– Using information and communication technologies (websites, social networks and similar)

– Public informing,

– Other ways.

MEMBERSHIP, RIGHTS, LIABILITIES AND RESPONSIBILITIES OF MEMBERS

Article 12

Members of the association can be regular, supporting and honorary. The association keeps a list of its members. The list of members is kept electronically and it contains data on personal name, last name, date of birth, personal identification number, date of accession to the association and date of termination of membership. The list of members is public. Members of the association can also be minors at the age of 14 years old with the written consent of the legal guardian /caregiver.

A regular member is any physical or legal person, who has expressed a wish to join the association and is interested in the work of the association and accepts the Statute and other documents of CRP Sisak.

A supporting member supports the goals and activities of the association and provides material and financial support to CRP Sisak and has the same rights as regular member except the right to vote and the right to be elected in bodies of CRP Sisak.

Honorary members are persons who have, through their efforts, particularly contributed to the development and affirmation of CRP Sisak.

Membership in the association is voluntary and it is paid according to the ability and desire of members. Each payment is recorded.

The decision on the implementation and membership fee is made by the Management board.

Article 13

The rights and obligations of regular members of CRP Sisak are:

– to elect and be elected to the bodies of CRP Sisak,

– to comply with the provisions of the Statute and other documents of the association,

– to be informed about the work of the association and its bodies and about the material and financial operations undertaken by the association,

– to actively participate in achieving the goals of the association and to contribute to the completion of its activities.

Article 14

The decision on admission to the membership of the association is made by the President of the association.

Article 15

Membership in CRP Sisak stops in the following occasions:

– termination of the organization,

– by a written statement on withdrawal from the membership,

– exclusion from the membership.

A member can be excluded from membership if he/she violates the provisions of the Statute, endangers interests of the association or causes damage to association and its members. The Assembly issues a decision on excluding by a two-thirds majority of regular members.

DISCIPLINARY RESPONSIBILITY OF THE MEMBERS

Article 16

Members of the association assume obligations and responsibilities arising from the law, Statute and other acts of the association.

Members of the association are disciplinary liable for violation of membership obligations and responsibilities:

– Violations of legal and other obligations regarding the association operations,

– Failure to comply with the Statute,

– Failure to comply with decisions of the governing body of the association,

– Failure to perform commitments,

– Negligent performance of obligations which caused damage to the association,

– Negligent or illegal disposal of assets of the association,

– Damaging the reputation of the association.

Article 17

Disciplinary responsibility of members of the association shall be determined in the disciplinary proceedings that may be initiated by any member of the association.

Disciplinary proceedings are conducted and imposed by the Auditing board.

Through the disciplinary proceedings, the circumstances causing violation of membership obligations and responsibilities, the weight of violation and the damage that was caused to the association shall be determined. Disciplinary proceedings shall be conducted in accordance with the regulations on disciplinary responsibility, which is established by the Assembly of the association.

Article 18

For established violation of membership obligations and responsibilities the following disciplinary measures may be imposed:

  1. First warning,
  2. Exclusion from the association.

Article 19

A member of the association with disciplinary measures shall have the right to, within 15 days from the day of decision, appeal to the Assembly of the association.

The Assembly of the association shall make a decision on the appeal within 30 days.

The Assembly’s decision on exclusion from the association is final.

Article 20

Each member of the association has the right to warn in writing the Auditing board or the Assembly of the non-compliance of the provisions of the Statute or irregularities in the implementation of decisions of the association. Each member of the association has the right to file a written complaint about the work of other individual member or the association bodies. To the warnings and complaints of members, the Auditing board is required to respond in writing within 30 days.

MANAGEMENT AND REPRESENTATION OF THE ASSOCIATION

Article 21

The bodies of CRP Sisak are:

– Assembly of CRP Sisak,

– Managing board of CRP Sisak,

– President of the association – president of the Managing board of CRP Sisak,

– Auditing board,

– Advisory board and

– Liquidator.

ASSEMBLY

Article 22

The highest body of CRP Sisak is the Assembly of CRP Sisak.

All regular members of CRP Sisak make the Assembly.

The Assembly of CRP Sisak:

– issues, amends and supplements the Statute

-elects and acquits the Managing board and the President of the association and of the    Managing board

– elects and acquits the Auditing board

– elects and acquits the Liquidator

– considers and accepts the report on work, final bill and work program of the association

– decides on accepting new members into the association

– decides on objections and complaints

– issues a decision on the cessation of the work of CRP Sisak

– performs other duties which follow from the Statute and other documents of the association

-decides whether to alter the objectives, activities, economic activities, and decides on termination of the association and distribution of the remaining assets.

Article 23

The Assembly meets when necessary, but at least once a year.

The Assembly performs duties for which it is authorized directly – at its sessions or indirectly – through the bodies of the association.

The President of the association, the Managing board or at least ¼ of members of the association can call the session of the Assembly.

The chairman of the Managing board has to deliver a notice for the session of the Assembly at least seven (7) days prior to the session. The session of the Assembly is chaired by the President until the chair of the Assembly is elected.

On request of ¼ of members of the Assembly, the President is obliged to call a session of the Assembly within 15 days. If he/she does not do it, the submitters of the request shall do it themselves. In such a case, they are obliged to propose the agenda and deliver the material in which they explain the necessity for calling the session.

The Assembly can effectively decide if the majority of members of the Assembly are present at the session.

In case that only a minority is present at the session of the Assembly, the session is called again within fifteen (15) days.

The Assembly issues effective decisions with a majority vote of present members, unless requested differently by the Statute for specific decisions.

MANAGING BOARD

Article 24

The Managing board manages the work of CRP Sisak.

The Managing board consists of three (3) members. The President of the association is a member by position; he/she is the chairperson of the Managing board and is elected for a mandate of four (4) years.

The mandate of a Managing board member can cease even before the end of a mandate at a member’s own request or by acquitting if he/she violates the Statute and acts contrary to the CRP Sisak documents and the decisions of the Assembly and Managing board, if he/she does not participate in the work of Managing board. The Assembly issues a decision on dismissal.

The Managing board meets when necessary, at least once in three months.

The Managing board is obliged to present its activities to its members at least once a year through a report filed to the Assembly of CRP Sisak. The Managing board manages the work of CRP Sisak, files the report on activities to the Assembly, as well as the final financial report, decides on the participation of CRP Sisak in the work of local and international organizations, on merging with other organizations or withdrawing from ones. It decides on giving authorization for representing the association, implements the Assembly’s decisions, conclusions and recommendations, prepares projects, co-ordinates their realization and is responsible for the implementation of the same. It prepares contracts signed by CRP Sisak and is responsible for their implementation, as well as for the correct implementation of all obligations taken by CRP Sisak. It determines the proposal of the Statute and its amendments, as well as other document proposals. It decides about the way of presenting the work of CRP Sisak and it presents its work in public. It also performs other duties determined by this Statute.

PRESIDENT OF THE ORGANISATION – CHAIRMAN OF THE MANAGING BOARD

Article 25

President of the association presents and represents CRP Sisak, calls and chairs the sessions of the Managing board. He/she proposes the agenda either on his/her own initiative or to a proposal of at least two members of the Managing board. He/she works on finding funds necessary for the work of CRP Sisak and performs other duties determined by this Statute, by the decisions of the Assembly and the Managing board. He/she supervises the legality of CRP Sisak work and is liable to the Assembly and the Managing board for his/her works. He/she signs contracts of employment, decides on acquisition of funds necessary for the work of CRP Sisak, manages the work of administrative and technical services and submits the report of the regular session of the Assembly to the competent office, which runs the Register of Associations.

The President’s mandate lasts for four (4) years.

The President can be acquitted of his/her duty before the end of a mandate if he/she goes beyond his/her authority, does not perform given duties consciously or if another reason stated in the Article 15 para 3 of the Statute occurred.

The Managing board, the Auditing board or 1/5 of members can file a proposal for acquitting the President of his/her duty. The Assembly has to be called within thirty (30) days from the day of filing the proposal. At the same session when the Assembly acquits the President, it elects a new President whose mandate lasts until the end of a mandate of a former President of CRP Sisak.

The President decides which member of the Managing board replaces the President in case he/she is absent.

AUDITING BOARD

Article 26

The Auditing board supervises the legality of the work of CRP Sisak and the implementation of the provisions of this Statute and other documents. It supervises the implementation of rights and obligations of CRP Sisak bodies, controls financial business, and gives advice and recommendations for the improvement of the association’s work.

The Auditing board consists of the President and two members elected by the Assembly to a mandate of four years.

The President and the member of the Auditing board can be acquitted of his/her duties even before the end of the mandate, if he/she does not perform obligations, which he/she consciously took over, violates the Statute or in any other way acts contrary to the association’s interests. At least 1/5 of members can file a proposal for the acquittal. The proposal is filed to the Assembly in written. The Assembly then issues a decision upon the made proposal at the first session called after such a proposal.

A member of the Auditing board cannot at the same time be a member of any other CRP Sisak body or perform any executive, technical or administrative duty in the association. Distinguished individuals, who are not members of CRP Sisak and who are willing to support the association’s activities through their skills, working experience and reputation can be elected as members of the Auditing board.

The Auditing board has the right and obligation to supervise financial business, give its opinions on financial report and the final bill, give proposals and measures for removal of possible flaws in the CRP Sisak work and to improve the work of CRP Sisak with its advice and proposals.

ADVISORY BOARD

Article 27

The Advisory board of CRP Sisak:

  • approves the programme of work, plans and activities of CRP Sisak, approves projects and budgets of CRP Sisak, gives advises and recommendations for improving of work of CRP Sisak,
  • supervises the work of CRP Sisak and implementation of regulations of this Statute and other acts of CRP Sisak,
  • controls financial and other reports of CRP Sisak.

The Advisory board shall be composed of five (5) members, one of whom shall be appointed its Chairperson.

The chairperson and members shall be elected by the Assembly of CRP Sisak for a period of four (4) years.

The chairperson, as well as any member of the Advisory board may be removed if they are not performing their responsibilities thoroughly, or if they violate the Statute of CRP Sisak, or if they in any other way work against the interest of CRP Sisak.

Member of the Advisory board cannot be at the same time a member of any other body of CRP Sisak, nor can the member have any other executive, expert or administrative duty in CRP Sisak. The members of the Advisory board are respected individuals in local community, international institutions and organisations, NGOs and other institutions, who are not the members of CRP Sisak, and who, by their expert and work experience with different national and international institutions and NGOs, as well as their respect in public, may and are willing to promote and facilitate the work and activities of CRP Sisak.

The Advisory board shall meet as needed, but at least twice a year.

The right and obligation of the Advisory board is to inform the bodies of CRP Sisak of any possible mistake in work of CRP Sisak and recommend how to solve it, as well as on their advises and recommendations for improvement of work and activities of CRP Sisak.

ELECTION AND RECALL OF THE LIQUIDATOR

Article 28

The Liquidator is a physical or legal person. The Liquidator of the association is elected by the Assembly on the proposal of the Managing board and his mandate lasts for four years. The Liquidator may be a person who is not a member of the association, and must have the adequate expertise.

The Liquidator of the association represents the association in the liquidation process and by opening of the liquidation procedure, he is entered in the Register of Associations as an authorized representative until the liquidation proceedings are completed and deletion of the association from the Register of Associations is done.

ISSUING DECISIONS IN CRP SISAK

Article 29

The decisions issued by CRP Sisak are effective when a majority of the body that called a session is present at sessions. Decisions are issued on the grounds of the majority vote, unless determined differently by the Statute. The vote in sessions is public, except for the elections, which are generally secret, unless decided differently at the session.

PROPERTY OF CRP SISAK

Article 30

The property of the association consists of financial resources that the association gained through membership fees, charity and donations, performing certain activities, through grants from the state budget or the budget of local and regional self-government and funds, as well as other financial resources gained in accordance with the law, movable and non-movable property, as well as other proprietary rights.

CRP Sisak uses its property in accordance with the regulations on financial business of unprofitable organizations.

The President has an executive right in using the property and payment transaction documents. In case he/she is absent, he/she may authorize other members for signing the payment transaction documents.

CESSATION OF WORK OF CRP SISAK

Article 31

CRP Sisak stops working by the Assembly’s decision on the cessation of work of the association, by a valid court decision which prohibits its activities, by expiring of twice as long time than the time scheduled for the regular session of the Assembly and if it was not held, merging with other association, connecting with other association, a division of the association by separation, bankruptcy, at the request of a member, if the number of its members falls below the number of required founders for establishment of the association and the competent body of the association, within one year of the occurrence of this fact, has not made a decision on the issue of accepting new members.

The Assembly issues a decision on the cessation of CRP Sisak by a 2/3 majority vote of all members of the Assembly.

If the existence of the association is terminated, the assets of the association, after satisfaction of creditors and costs of the liquidation, court and other proceedings, are given to an association, institution or foundation that have the same or similar statutory goals, based on the decision of the Assembly in accordance with the Statute.

DISPUTE RESOLUTION AND CONFLICT OF INTEREST

Article 32

Arisen disputes between members of the association, the members are obliged to try to resolve through conciliation. In case of judicial proceedings, the Municipal court in Sisak is responsible for the necessary proceedings.

TRANSITIONAL AND FINAL PROVISIONS

Article 33

The explanation of the regulations of this Statute is to be given by the Assembly of the association.

Article 34

This Statute comes into effect on the day of issuance and is applied as of the date of certification by the relevant state administration body.

As of the date of coming into effect of this Statute, the Statute of CRP Sisak, which was adopted by the Assembly on 25 November 2003, stops being in effect, with all subsequent changes and amendments.
